1. The Service: Cardamon Platform

1.1 Scope. These terms govern your access to and use of the Cardamon text-to-agent platform (the "Platform"), which is owned and operated by Ergodic Limited ("Company", "we", or "us").

1.2 Nature of Agents. Cardamon enables the creation, deployment, and management of autonomous AI agents ("Agents"). You acknowledge that Agents operate using non-deterministic generative models. This means Agents may take actions, generate code, or produce outputs ("Output") that are unpredictable.

1.3 Authority. By deploying an Agent via Cardamon, you are granting that Agent the authority to act as your digital representative. Any action taken by an Agent within the scope of your instructions (the "Prompt") is legally attributable to you.

2. Intellectual Property & Data Rights

2.1 Platform IP. Ergodic Limited retains all rights, title, and interest in the Cardamon Platform, the brand "Cardamon", underlying model architectures, and the orchestration code powering the Agents.

2.2 Ownership of Output. Subject to your payment of all applicable fees, Ergodic Limited hereby assigns to you all right, title, and interest in the Output generated by your Agents.

2.3 License to Input. You grant Ergodic Limited a perpetual, irrevocable, worldwide license to use your Inputs (Prompts) solely to: (a) provide the Cardamon service; and (b) de-identify the data to improve Platform security and Agent reliability.

2.4 The "No-Training" Guarantee. We will not use your Confidential Information or proprietary Inputs to train foundational models for our other customers without your express written consent.

3. Acceptable Use & Agent Guardrails

3.1 Restricted Actions. You shall not instruct Agents on the Cardamon Platform to:

• Engage in regulated financial, legal, or medical advice without a "Human-in-the-loop."
• Generate "Deepfakes" or content that violates the UK Online Safety Act.
• Attempt to "jailbreak" or circumvent the safety filters of the underlying models.

3.2 Monitoring. Ergodic Limited reserves the right to use automated tools to monitor Cardamon Agent logs for violations of this Section 3.

4. Limitation of Liability & "Agentic" Indemnity

4.1 Disclaimer of Accuracy. We do not warrant that Cardamon Agent Output will be accurate, error-free, or fit for a specific purpose. You are solely responsible for reviewing Agent actions before they have real-world consequences.

4.2 Indemnity. You shall defend, indemnify, and hold Ergodic Limited harmless from and against any third-party claims, damages, or law enforcement actions arising from:

• (a) The specific instructions/Prompts you gave to a Cardamon Agent.
• (b) Any "autonomous" action taken by an Agent that results in financial loss, data breach, or contractual violation for a third party.
• (c) Your failure to implement "Human-in-the-Loop" (HITL) oversight for high-risk tasks.

4.3 Cap on Liability. The Company's total liability for any claim arising out of these terms shall not exceed 100% of the fees paid by you for the Cardamon service in the 12 months preceding the claim.

5. Security & Access

5.1 API Keys & Credentials. You are responsible for the security of any API keys or third-party credentials (e.g., Slack, GitHub) you provide to your Agents. If a Cardamon Agent is compromised due to your credential management, Ergodic Limited bears no liability.

5.2 Audit Logs. We maintain "Decision Logs" for all Cardamon Agent actions for a period of 90 days. These logs serve as the definitive record in the event of a dispute regarding an Agent's "intent."

6. Governing Law

6.1 These terms are governed by the laws of England and Wales.

6.2 Any dispute arising from the use of Cardamon or the behavior of an Agent shall be subject to the exclusive jurisdiction of the courts in London.
